Our governance

Governance at OCP is fundamental to its organization and operation and is a long-term project of shared responsibility. It is both necessary for good management and a strategic tool. Governance includes procedures, rules, and structures that are implemented to ensure transparent operations and balanced power. Leveraging effective decision-making and management with all the Group's stakeholders, governance at OCP ensures not only compliance with regulations, but also the vitality of business projects, the Group's vision, and its ambitions. 

Governance is based on values that underlie all the company’s action: integrity, ethics, and transparency.

These principles also shape OCP’s corporate culture: this is why all who belong to the Group feel great pride. OCP’s administrative bodies apply these principles to all levels of the organization.

Our board of Directors

OCP conducts its operations in compliance with Moroccan law on limited liability companies. As such, OCP has a Board of Directors that determines the general orientations of the company’s activities and oversees their implementation, subject to powers that are expressly reserved to the shareholders and in accordance with OCP’s corporate purpose.

The Audit and Risk Committee

The Audit and Risk Committee is in charge of assisting the Board of Directors in its control operations and reviewing half-year and year-end results. 
The Committee’s main functions are: 

  • Assessing the adequacy of the Group’s internal control operations and coordinating internal and external audit operations;
  • Approving the annual internal audit program;
  • Evaluating accounting principles and methods;
  • Examining risks and evaluating the significance of such risks;
  • Monitoring compliance with the recommendations made at previous Audit and Risk Committee meetings;
  • Helping the Board of Directors improve internal control, risk management, and network and information security.

The Committee meets twice a year according to legal provisions, or more if necessary.

Three committees support this governance:

Strategic Committee

The Strategic Committee focuses on OCP’s medium- and long-term strategy. It is chaired by the CEO and composed of Managing Directors. 

Management Committee

The Management Committee is in charge of validating the Group’s medium- and long-term strategic planning decisions approved by the Strategic Committee. 
It is chaired by the CEO and includes Managing Directors and Executive Vice Presidents.    

Operational Committee

The Operational Committee is in charge of short-term decisions and operational coordination.
It is made up of operational managers and is chaired on a rotating basis by an Executive Vice President.

Senior Management

OCP Group’s Senior Management is structured on two levels:  :

  • Senior Management is made up of the CEO and the Managing Directors who administer the Group’s long-term processing strategy, ensure cross-functional cohesion, and oversee the Executive Vice Presidents;
  • Executive Vice Presidents are in charge of the operational management of the Group’s main business lines/operations.

Previously Managing Director at the National Regulatory Telecommunication Agency (1998), Lead Regulatory Specialist at the World Bank (Washington, 2002). 
PhD in Operational Research at the Massachusetts Institute of Technology (MIT, Cambridge, USA, 1990), holder of an Engineering Master at the same institute (1982) and graduate from the Ecole Nationale des Ponts et Chaussées in Paris (1979). 
More than 30 years of experience.

Joined OCP in 2006. 
Previously electronic and telecommunication Professor at the Université de Lille and at the Ecole Mohammedia des Ingéieurs (EMI). Technical Director at the National Regulatory Telecommunication Agency. 
PhD in hyperfrequencies and materials at the Université des Sciences et des Techniques de Lille (USTL).

Joined OCP in 1992. 
Started his career at OCP as mines engineer in Khouribga before taking control of the Sales Direction of Asia, Middle-East and Oceania, and the industrial platform of Jorf Lasfar. 
He also held the position of Executive Sales Director. 
Graduate from the Ecole Mohammedia des Ingénieurs (EMI) in Rabat. 
More than 22 years of experience.

Marouane AMEZIANE

Executive Vice President - Strategy & Corporate Development

Joined the OCP Group in 2009. 
Started his career at OCP as Chargé de Mission in Paris handling various strategic and financial projects, before becoming Cabinet Director for the Chief Executive Officer in 2012. 
Former advisor in Structural Financing and Finance Project at KPMG Corporate Finance in Paris, M. Ameziane worked with public authorities and private groups on various projects (energy, water, etc.) in various countries. 
Graduated as Civil Engineer at the Ecole des Mines de Paris and holds a Master in Strategy and Finances from the University of Oxford in England.

Joined OCP in 1992. 
Started his career at OCP as mines engineer in Khouridga, then Sales Manager for South Asia and Oceania, before becoming Marketing Manager for the Group and then Sales Director for Asia, Middle East and Oceania. 
Graduate from the Ecole Nationale de l’Industrie Minérale (ENIM) in Rabat. 
More than 23 years of experience.

Otmane BENNANI SMIRES

Executive Vice President - Legal & Corporate Affairs

Joined OCP in 2010. 
Started his career at OCP as Senior Legal Counsel before becoming Legal Director in charge of Corporate and Transactions. Prior to joining the Group, M. Bennani-Smires was lawyer registered at the bar of Quebec. 
He obtained a B.A. in Economics and Management at the University of Rice in Houston (Texas) and a double diploma in civil and Anglo-Saxon law at the University of McGill in Montréal (Québec).

Joined the OCP Group in 2010. 
Started his career at OCP as Global Performance and Mines Director before taking the lead at the Production Direction of the Merah Béni Idir Axis – Khouribga site, then Director of Gantour site. 
He then held the position of Director of the Safi site. 
Previously, M. Derrij occupied important positions at TOTAL France and Meditel. Graduated from the Ecole Centrale de Lyon.

Joined OCP in 2009. 
Started his career at OCP as Project Manager at the Strategy and Partnership Direction. He then took charge of the Patnership Direction then the IMACID Direction in Jorf Lasfar before becoming Director of the Safi site. 
Prior to joining the group, M. Elfali held important positions at Lesieur Cristal, Air Liquide Maroc and Ynna Steel. 
Graduated from the Ecole des Mines in Paris.

Hicham El Habti

Deputy Secretary General

Joined OCP Group in 2013. 
Chargé de mission to the managing director before holding the position of Director of management control and business steering. He leads the “Movement” initiative since it was launched in April 2016. 
In November 2017, he was appointed Deputy Secretary General. 
Mr El Habti started his professional career within Ernst & Young, before holding leading positions within Moroccan SMEs for more than seven years. 
Graduate from École Polytechnique et des Ponts et Chaussées.

Joined OCP in 2009. 
Member of the Task Force handling the implementation of the industrial transformation of the Group. 
Mission Head at the Cabinet for the Chief Executive Officer.

Started her career in Houston, TX in oil and gas engineering. 
Graduate from the ISAE-ENSICA of Toulouse and holds an MSc from LSU.

Abdelaziz El Mallah

Joined OCP in 1984. 
Started his career at OCP at the Safi site where he held various positions in Operations, Projects and Planning. In 2003, he became Morocco-Phosphore II Director, then Research Director within the Industrial PMO at the Casablanca headquarters in 2007. 
He joined the JESA family in 2009 as Operations Deputy Director, before being appointed General Director in July 2014. 
Graduate from ENSAET Toulouse (1984), ENSCP Bordeaux (1983), and holds a DEA in Instrumentation and Measures at the Université de Bordeaux (1983).

Prior to joining the Group, Ms. Guedira held several important positions at the ONA Group and CMH and was auditor at Arthur Andersen. Graduate from the ESCP Europe Business School.

Mohamed Laklalech

Executive Vice President – Digital Office

Joined OCP in 2010. 
Started his career at OCP as a Project Manager in the Organization and Processus Department, before holding the position of Vice President in charge of Organization in 2013, In 2017 he hold the position of Chief Digital Officer, in charge of Digital Factory, IT, Data, Digital Innovation Lab and Change Management. 
M. Laklalech started his career as a consultant in Paris, with Solucom (Wavestone) and then Accenture, where he worked on several sectors such as Telecoms, Banking, Transportation services and retail. 
Graduate from Ecole Nationale Supérieure des Télécommunications de Paris and holds a Master in Mathematics applied on image processing from l’Ecole Normale Supérieure de Cachan.

Joined OCP in 2010. 
Started his career at OCP as a Director in charge of management control before holding the position of Vice-President Shipment & Logistics. 
Prior to OCP, Mr Lotfi Senhadji held several management positions within several Moroccan and international companies, such as Holcim Group, Altadis Morocco and Méditelecom. 
Holds an Executive MBA ESSEC & Mannheim Business Schools and graduate form the Royal Air Forces School of Marrakech where he got his degree in aeronautical engineering and trained as a pilot.
